Caribbean Gaming & Acquisition Corp (CGAC) is focused on becoming the leading gaming and entertainment company in the Caribbean. Poised on maximizing upon the tremendous growth throughout the region, CGAC has launched its first project in Puerto Plata, Dominican Republic.

The Dominican Republic, once a distant second fiddle to such Caribbean destinations as St. Thomas and Anguilla, has confidently stepped into the spotlight thanks to an impressive crop of luxury resort developments, 21 golf courses (including designer courses by Dye, Nicklaus, and Palmer), and attention from celebrities, politicos, and style icons. Now the economy is red hot, growing around 10 percent a year. With competition for foreign investors increasing, the Dominican Republic enjoys two advantages: low prices and large tracts of undeveloped land, something its smaller Caribbean neighbors typically lack.

Recently, the country has attracted large investments from tycoons such as Donald Trump, who is pouring more than $1 billion into resort and residence development on the island. In May, Donald Trump sold a whopping $368 million worth of lots in only 4 hours, part of a gigantic development called Cap Cana on the Dominican Republic's eastern tip. Built in partnership with a Dominican company called the Abrisa Group, Cap Cana will eventually cover 30,000 acres. It will feature luxury hotels, a huge marina with slips for mega-yachts, condos, luxury mansions and several golf courses designed by Jack Nicklaus. The project is cementing the Dominican Republic's entry into the high-end market, while creating thousands of jobs for Dominicans.

CGAC's management team, after 5 years of researching the area, is confident they have found the jewel of the Caribbean offering the finest beaches, crystal clear Caribbean water and endless options for activities and adventures. Sosua, Puerto Plata is the Acapulco of the Dominican Republic and where you could say tourism first began back in the 70s and 80s. The first project is a boutique casino servicing the patron's of the Sosua Bay Resort; a four star waterfront resort with 250 room and 4 restaurants, 3 pools, and steps to one of the country's most popular destinations; Sosua beach.

By August 2008, CGAC will be expanding that operation into a 3 story entertainment complex overlooking the Sosua Bay Resort, beach, and Sosua bay. The 36,000 square foot building will house the brand new Sosua Bay Grand Casino, a nightclub, convention center, spa and fitness center. This is the premier location within Sosua as the main roads in the city lead you to the front door of the Casino. It’s within walking distance of local restaurants and businesses including the extremely popular Sosua beach. The location offers a tremendous advantage over the closest competitive casino within Sosua, primarily because it is located within walking distance of the main tourist areas of Sosua, and virtually all traffic must pass its building. The nightclub, “After One”, successfully opened on March 8, 2008 and is already attracting significant traffic to the facility.

CGAC is currently in negotiations on another location in a brand new 5 star hotel that is yet to open in Santiago, Dominican Republic. This resort has 440 rooms, a 30,000 square foot convention center, an international spa and the casino would be located in a brand new free standing building within the resort. The casino building is completed and CGAC is in negotiations to bring another casino license in to operate that facility and build out the interior. This will be one of the most magnificent properties in the Dominican Republic and in one of the larger cities on the island.

Other opportunities have arisen to use CGAC’s existing Texas Hold-em license in Santo Domingo; the country’s Capital and largest city with 2.5 million residents. This would be a free standing poker room housing 5 tables centrally located in the city to attract the ever growing card playing individuals in the area.

CGAC continues to keep focus on big picture opportunities and maintaining its growth and expansion not only in the Dominican Republic, but throughout the Caribbean. Expectations are that CGAC will be a publically traded company within a few months and will continue the promising growth and forward thinking foundation it has been built on while looking to capture more and more of the several billion dollar gaming industry in the Caribbean.

Chief Executive Officer: SCOTT SWANK

Scott Swank has nearly 10 years experience in the marketing of products via direct response television. As C.O.O of several companies, Mr. Swank has been involved with products and companies that have generated nearly $1 billion dollars in revenue driven by direct response advertisements. He is a graduate of Ball State University with a degree in Business Management.

Through his experience with some of the most respected individuals, DR marketing firms, and vendors, Mr. Swank has developed a tremendous knowledge in operating profitable campaigns and maximizing revenue.

Acting as COO of Reliant Interactive Media Corp in the late 1990's, Mr. Swank helped Reliant grow to over $100 million in sales in its first full fiscal year. Annual revenue from their products through infomercials continued to grow until Reliant was acquired by Thane International; a competing direct response marketer where he then became COO of the combined entity.

In 2004 Mr. Swank formed Swank Consulting, Inc; a company dedicated to helping companies with limited experience in direct response marketing launch their products to the world via short form spots and infomercials.

Mr. Swank has a strong operational background with the ability to manage the fine details relating the growth of the companies he has been involved with.

President: ARMANDO CASCIATI

Mr. Casciati is the owner and operator of the $40 million dollar waterfront resort Sosua Bay Resort and the new building being constructed for the Sosua Bay Grand Casino. Mr. Casciati was born in Italy and brings tremendous value to the company through his knowledge and current operations within Sosua that he has been involved with for nearly 10 years. Mr. Casciati is a large residential and commercial property owner within Sosua, he owns a TV Station, a large diaper factory, and owns and operates the most popular nightclub "Classico" in Sosua.

Mr. Casciati will oversee the casino operations with Mr. Swank and will be responsible for management of the nightclub on the property, the convention center, and spa.

Chief Operating Officer: STEVEN SWANK

Mr. Swank has been conducting business operations within Dominican Republic since 2003 which included the ownership of a hotel in Sosua, Puerto Plata and operation of Texas Hold-em poker tables through his company World Poker Tour S.A. which has been acquired by the Company.

His background includes nearly 40 years of entrepreneurial ventures ranging from real estate development, restaurant/nightclub ownership, introducing new building technology to Poland and Russia, operating a private label beer manufacturer that exported it's product to South and Central America and was the fastest growing beer in Brazil, and a small cigar rolling operation.

Steven has been successful operating the mini casino within the Sosua Bay Resort and will be responsible for overseeing the day to day operations of the Sosua Bay Grand Casino.

Secretary: H.S. Liddell

For over 20 years, Mr. Liddell has been the owner and operator of "Pieres", one of the largest nightclubs in the Midwest located in Fort Wayne, IN. Pieres includes 5 great clubs under one roof and it's "million dollar stage". Pieres is 4th in the world in concert ticket sales for "over 21" concerts. Over 1000 National Recording Artists have performed including the likes of Godsmack, Creed, REO Speedwagon and Willie Nelson. Piere's has over 65 national concerts per year and entertain over 6,000 people per week. Piere's will partner with the Sosua Bay Grand Casino in providing live broadcasts of its concerts within the convention center and casino.

Mr. Liddell also owns four other nightclubs and restaurants and owns other commercial buildings and warehouses in Indiana. He brings a great background in operations of large scale entertainment projects to the Company and is also the owner of some properties within Sosua including a property housing 20 apartments and 12 hotel rooms.

John Bortoli

Mr. Bortoli is the principal owner and President of BORCO EQUIPMENT COMPANY INC., which he established in 1982. Mr. Bortoli has over 35 year of success in the manufacturing, sales, distribution and transportation of trucks, trailers and heavy duty equipment.. All BORCO Trailers are manufactured with top quality American components and steel. They are primarily used in the construction, demolition, road building, material distribution and scrap industries.

BORCO TRAILERS are built in Western Pennsylvania, where the area is well known for quality manufactured trailers. The labor force and experience have enabled them to build and supply high quality trailers at a price saving of thousands of dollars under the average retail cost.

BORCO's line of trailers include, full frame, quarter frame and frameless dumps. They specialize in heavy duty trailers for the demolition, construction and scrap industries. They also install bed liners, and also custom-build replacement bodies and frames for dump trailers.

Mr. Bortoli has been doing business in South and Central America, including the Dominican Republic for over 10 years.
